Terms of Service

Effective Date: May 11, 2025

Please read these Terms carefully. By creating an account or accessing the RepuLocal platform, you agree to be legally bound by these Terms of Service. If you do not agree, do not use the Service.

1. Definitions

  • “Company,” “we,” “us,” or “our” means RepuLocal and its affiliates.
  • “Service” means the RepuLocal software-as-a-service platform, including the dashboard, APIs, and all associated features.
  • “Subscriber” or “you” means the business or individual who has registered for an account.
  • “Content” means any text, images, captions, or other material you create, upload, or publish using the Service.
  • “Platform Data” means reviews, messages, comments, and metadata retrieved from third-party APIs (Meta, Google) on your behalf.

2. Description of Service

RepuLocal is a customer support CRM and content management dashboard designed for local service businesses. The Service provides tools to: (a) view and respond to customer reviews on Google and Facebook; (b) manage direct messages from connected Facebook Pages and Instagram Business Accounts; (c) draft and publish social media content to connected business accounts; and (d) view aggregated reputation analytics.

The Service operates exclusively through official, authorized APIs including the Meta Graph API and Google My Business API. All actions taken on third-party platforms are performed on behalf of the Subscriber, using credentials they explicitly provide and control.

3. Account Registration & Eligibility

To use the Service, you must: (a) be at least 18 years of age; (b) be a duly authorized representative of the business account you are registering; (c) provide accurate, current, and complete registration information; and (d) maintain the confidentiality of your account credentials. You are solely responsible for all activity that occurs under your account. Notify us immediately at legal@repulocal.com if you suspect unauthorized access.

4. Acceptable Use Policy

The Service is provided solely for legitimate business communication and content management purposes. You agree to use the Service in compliance with all applicable laws, platform terms of service (including Meta's Platform Terms and Google's API Terms of Service), and the following rules.

You expressly agree that you will NOT use the Service to:

  • Generate, solicit, incentivize, or post fake, fraudulent, or misleading reviews on any platform, including Google, Facebook, Yelp, or any other review site.
  • Artificially inflate engagement metrics, including but not limited to: purchasing likes, followers, or comments; using bots; or coordinating inauthentic engagement behavior.
  • Send unsolicited commercial messages (spam) to users, customers, or any third parties through any connected channel.
  • Impersonate any individual, business, or entity, or misrepresent your affiliation with any person or organization.
  • Use the Service to access, scrape, or harvest data from third-party platforms in violation of their Terms of Service.
  • Circumvent, disable, or interfere with security features of the Service or any connected third-party platform.
  • Violate any applicable federal, state, local, or international law or regulation, including consumer protection, anti-spam (CAN-SPAM, CASL), or data privacy laws (GDPR, CCPA).
  • Use the AI-assisted writing features to produce false, defamatory, or deceptive content.

Violation of this Acceptable Use Policy may result in immediate termination of your account without refund, and may be reported to the relevant platform operator or law enforcement authority.

5. Subscription, Billing & Cancellation

The Service is offered on a monthly subscription basis. Subscriptions automatically renew at the end of each billing period unless cancelled. You may cancel your subscription at any time from your account settings; cancellation takes effect at the end of the current billing period. Our full refund terms are described in our Refund & Cancellation Policy. We reserve the right to modify pricing with 30 days' written notice.

6. Intellectual Property

The RepuLocal platform, including its design, code, and proprietary features, is owned by the Company and protected by applicable intellectual property laws. You retain all rights to the Content you create. By using the Service to publish Content, you grant us a limited, non-exclusive license solely as necessary to operate and deliver the Service to you. We do not claim ownership of your Content.

7. Third-Party Integrations

The Service integrates with third-party platforms including Meta (Facebook, Instagram) and Google. Your use of these platforms through our Service is subject to their respective terms of service and privacy policies. We are not responsible for the availability, accuracy, or policies of these third-party services. You are responsible for ensuring that your use of any connected account complies with that platform's terms.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

9. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, THE COMPANY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THE SERVICE. IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE GREATER OF (A) THE AMOUNT PAID BY YOU IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

10. Termination

Either party may terminate these Terms at any time. We reserve the right to suspend or terminate your access immediately, with or without notice, if you violate these Terms, particularly Section 4 (Acceptable Use). Upon termination, your right to use the Service ceases immediately and we may delete your account data in accordance with our Privacy Policy.

11. Governing Law & Disputes

These Terms shall be governed by the laws of the State of Delaware, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved through binding arbitration in accordance with the American Arbitration Association's Commercial Arbitration Rules, except that either party may seek injunctive relief in a court of competent jurisdiction for violations of intellectual property rights or the Acceptable Use Policy.

12. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide at least 14 days' notice via email or in-app notification before material changes take effect. Continued use of the Service after the effective date of changes constitutes your acceptance of the updated Terms.
